Joseph Daniels is a partner in the Corporate Practice Group in the firm's New York office.

Areas of Practice

Mr. Daniels represents startup to publicly-held technology, life science and consumer companies, venture capital and private equity funds and investment banks in a wide range of seed and venture financings, mergers and acquisitions, IPOs and other public offerings. He regularly advises a broad range of startups, venture-backed companies and VC funds, and has led hundreds of venture and strategic financing transactions. Mr. Daniels has helped companies and private equity firms handle over $5 billion of merger, acquisition and disposition transactions. Additionally, he has represented issuers and underwriters in more than 25 IPOs and follow-on public offerings involving companies in the technology, life sciences and consumer sectors, including leading investment banks such as Credit Suisse, Morgan Stanley and Oppenheimer.

Mr. Daniels also serves as outside general counsel for numerous companies, assisting them with everything from day-to-day business transactions to multinational strategic alliance transactions ranging from technology and distribution partnerships to joint ventures. He focuses on representing clients involved in high-growth sectors, and has experience with a broad range of industries, including adtech, biotech, cleantech, consumer, digital media, ecommerce, energy, Internet of Things, Fintech/financial services, life sciences, mobile, semiconductor, software, UAVs and telecommunications.

Robert Bosch Venture Capital in an aggregate of $25 million of strategic investments in various U.S. technology companies, including cleantech, mobile Internet security, and semiconductor companies.

Wexford Capital in its investments of an aggregate of $80 million in biotechnology and cleantech companies in the U.S. and India.

Oxford Bioscience Partners, Oxford Bioscience Partners, ABN AMRO Capital, and Giza Capital in a $9.1 million Series A financing of Pathway Medical Technologies.

Oxford Bioscience Partners, ABN AMRO Capital, and Giza Capital in the recapitalization of $23 million of prior investment and $9.1 million Series A financing of Pathway Medical Technologies.

Accelerated Technologies Partners as lead investor in investments of $14 million in various medical device companies.

Represented Flying Point Media, Inc. in its acquisition by Women’s Marketing, Inc.

Represented CleanEdison, a leading provider of online training, in its sale to Kaplan Higher Education.

Represented QBS Learning, an India-based provider of integrated media and content solutions for education, in its acquisition of U.S. based Bill Smith Group, Inc.

Represented Penn Traffic in the sale of the assets of its wholesale division to C&S Wholesale Grocers for $45 million in cash.

Represented RTI Surgical (RTIX) in its acquisition of Tutogen, Inc. (TTG) for approximately $263 million in stock.

Represented Criterion Capital Group in its acquisition of Bebo, Inc. from AOL, Inc. (AOL).

Represented U.S. Maintenance in its sale for $276 million in cash to Transfield Services.

Represented Monster Worldwide (MWW) in the sale of its global Yellow Pages division to Audax Group for $80 million in cash.

Represented Impella Cardiosystems AG in its acquisition by ABIOMED (ABMD) for $70 million in cash.

Represented Sterling Investment Partners, Falconhead and Wexford leading private equity funds in over $475 million of acquisitions and dispositions.

Represented Universal Health Services (UHS) in over $150 million of hospital and healthcare center acquisitions.

Represented eSpotting, Inc. in its acquisition by Findwhat.com, Inc. (FWHT) for $275 million in stock.

Represented Merriman Curhan Ford as managing underwriter of an $100 million initial public offering of a foreign private digital media company.

Represented Mistras Group Inc., a leading global provider of technology-enabled asset protection solutions in the initial public offering of its common stock for $125 million with J.P. Morgan, Credit Suisse and Bank of America Merrill Lynch as joint book-running managers.

Represented Monster Worldwide in a $58 million follow-on public offering of common stock with Morgan Stanley & Co. as lead manager.

Represented a leading provider of programmable video compression technology semiconductors and software in its $150 million initial public offering of its common stock.
