Ms. Liu is a partner in the Corporate Practice Group in the firm's Beijing office.

Areas of Practice

Ms. Liu specializes in private equity, venture capital, mergers & acquisitions and cross-border transactions and regularly counsels Chinese emerging growth companies in a variety of issues including restructuring, drafting and negotiating licensing agreements and addressing employment law issues. She counsels companies on the adoption of various incentive plans including stock option plans for Chinese employees and assisting with the legal compliance.

Ms. Liu's other areas of practice include legal research and interpretation, general advice on corporate acquisitions, offshore and onshore restructuring analysis, and review of opinions issued by Chinese and offshore counsels.

Company Representation

  • Representing a leading Shandong-based soy sauce and soy paste manufacturer in its US $30,000,000 mezzanine debt financing from a German bank and a Dutch fund.  On-going representation includes modifications to financing documents, changes to corporate structure including formation and dissolution of subsidiaries, employment matters, due diligence of potential acquisition targets and corporate governance advice.
  • Representing a Beijing leading software company in securing equity financing from American Insurance Group in the amount of $15,000,000, and in securing subsequent financing from Baring in the amount of $10,000,000.  Current representation includes its Hong Kong listing and other corporate matters including the adoption of its pre-IPO stock option plan.
  • Representing a Beijing-based leading ATM installer and service provider in a three-part bond issuance to Investec that raised $25,000,000.  Continued representation includes negotiation in a potential subsequent round of financing for $50,000,000 and on-going corporate matters including matters related to the adoption of stock option plan.
  • Representing a Shenzhen-based medical equipment distributor and developer in securing a $10,000,000 Series A financing from Chardan China Investments and its subsequent purchase of an American company for strategic investment.  Current representation includes ongoing U.S. securities compliance work and general corporate matters including legal advice on employment, marketing and sales.
  • Representing a leading health management organization in China in its last three rounds of private equity financing raising over $26,000,000 with institutional investors such as Merrill Lynch, WI Harper and Walden. Current representation includes general corporate matters, dispute with shareholders and corporate governance advice in anticipation of the U.S. IPO.
  • Representing a Beijing-based education academy in its angel financing and its subsequent institutional financing with a Singaporean fund.  Current representation includes restructuring and roll-out of additional facilities in ten different cities.
  • Representing a leading producer and distributor of milk power in China in matters involving its U.S. securities on-going compliance, employment, stock option plan, and general corporate issues in connection with engagement of auditors, communications with board members, and terms of financing.
  • Representing a leading Xi'an based energy company in a U.S. registered offering raising over $50,000,000 from institutional investors including Roth Capital.
  • Represented Chardan China Investments in its merger with a large private Chinese engineering company providing design, construction and installation expertise for power distribution in China.
  • Represented a U.S. company in its 100% equity acquisition of a Beijing-based logistic company.
  • Represented a Beijing-based outdoor advertising company in its U.S. $50,000,000 investment from Morgan Stanley (aborted).

  • Represented Matrix China Fund and IDG in completing their $17,000,000 investment in a leading Guangzhou-based insurance agency.
  • Represented JAFCO funds in their investments in various companies including an education provider in China, a multi-media company in Taiwan, and a leading printer manufacturer in China, and a medical device manufacturer with operations in both China and the U.S.
  • Represented Cisco Systems, Inc. in its investment in a Shanghai-based multimedia company.
  • Represented DCM in its $20,000,000 investment in a Beijing marketing service provider focused mainly on the automobile industry.
  • Represented GSR Ventures in its $3,325,000 investment in a Beijing software designer for mobile phone.
  • Represented KPCB in its $8,000,000 investment in an on-line advertising company.
  • Represented Qiming Venture in its $10,000,000 investment in one of the largest on-line match making sites in China.
  • Represented SAIF Partners in its $10,000,000 investment in a Guangzhou-based manufacturer of water treatment materials and represented the company in entering into licensing and distributor rights with the original American manufacturer.
  • Represented TDF in its $2,000,000 investment in a software company that specializes in software for mobile phones and its $13,000,000 investment in Beijing based developer and manufacturer of healthcare devices.
  • Represented WI Harper in its $1,250,000 Series A investment in a Hong Kong company that develops software for financial institutions.
