Michael Distefano is an associate in the Real Estate, Land Use and Environmental practice group in the firm's Los Angeles office, and a member of the firm’s Energy industry team. 

Areas of Practice

Michael represents companies engaged in the development, construction, financing, acquisition and disposition of solar, wind and other energy assets.  Michael frequently represents buyers and sellers of wind and solar projects at both the development and operating stages. His experience includes negotiating and drafting key project documents, such as EPC, turbine supply, balance of plant and O&M agreements, as well as loan and security documents for the non-recourse financing of projects of various types and sizes.  He has represented clients with respect to projects across the United States as well as in Mexico, South America and the Caribbean.

Recent transactions include representing the following:

  • The project owner in connection with the acquisition of a 97.5 MW portfolio of wind energy projects in Minnesota.
  • The project owner in connection with the acquisition of a 100.5 MW wind energy project in Pennsylvania.
  • The lender in connection with the re-financing of an approximately 9 MW portfolio of solar photovoltaic projects in Massachusetts.
  • The developer in the sale of two solar photovoltaic projects in Hawaii totaling 6.5 MW.
  • The sponsor in connection with the financing of a 53 MW solar photovoltaic project in Chile.
  • The developer in connection with the negotiation and drafting of turbine supply, O&M and equipment supply agreements in connection with two wind projects in Maine and Kansas totaling 550 MW.
  • The developer in the acquisition and financing of, and the negotiation of turbine supply, balance of plant and O&M agreements for, a 156 MW wind project in Texas.
  • An investment fund in connection with a $75 million investment in an undersea transmission cable.
  • The developer in the acquisition  of, and the negotiation of EPC and O&M agreements for, a 24 MW solar photovoltaic project in Nevada.
  • The developer in connection with a tax equity investment in a portfolio of five solar photovoltaic projects totaling approximately 27 MW in North Carolina.
  • The sponsor in connection with a tax equity investment in a 110-MW concentrating solar power project.
  • The sponsor in connection with the financing of a 53 MW solar photovoltaic project in Chile.
  • The lender in connection with the financing of a portfolio of 3500 residential solar leases.
