Patrick Maloney is a partner in the Corporate Practice Group in the firm's Chicago office. He concentrates his practice in public and private merger and acquisition transactions, public and private securities offerings and securities law compliance matters, and corporate governance issues.
Mr. Maloney has handled numerous negotiated mergers (including public company mergers), stock and asset acquisitions, going private transactions, and divisional carve-outs. He has been an adviser on substantial transactional programs undertaken by clients designed to advance their strategic goals. For instance, he has served as principal U.S. acquisition counsel to a global financial information company in connection with its strategy of acquiring companies in the financial risk management and measurement industry.
Mr. Maloney has extensive experience in public and private securities offerings, including initial public offerings of equity and debt securities, global medium-term note programs, acquisition and resale shelf registrations, Eurobond offerings, Rule 144A offerings and institutional private placements. He regularly advises clients regarding disclosure requirements under applicable securities laws. He also has counseled activist shareholders in connection with proxy contests and similar initiatives.
Mr. Maloney has served as counsel to special committees and independent directors in connection with a variety of related party transactions, dealing with both conflict of interest and corporate opportunity issues. For instance, he was counsel to the independent directors of a major mutual insurance company in connection with its separation from a larger stock insurance company complex. He has also served as counsel to the audit and compensation committees of various public companies, and has advised boards of directors and trustees in connection with various regulatory investigations.
