Stephanie S. Brecher

Ms. Brecher is a partner in the Corporate practice group in the firm's Orange County and Silicon Valley offices and co-leader of the Climate Change and Clean Technology Team.

Areas of Practice

Ms. Brecher has extensive experience in corporate transactional matters, representing venture capital funds in both early and later-stage equity and debt financing of emerging technology companies and negotiation of exit transaction documentation, and private equity funds, public and private companies with respect to mergers and acquisitions and control transactions, equity and debt financing transactions, commercial agreements, joint ventures and other strategic relationships. She also serves as general counsel to emerging growth companies and their management and boards of directors, advising them on day-to-day legal matters, corporate governance issues and significant transactions.  

Ms. Brecher previously served as senior counsel to Nortel Networks, where she handled acquisitions of private and public companies totaling more than $10 billion in transaction value, divestitures of Nortel businesses, international and domestic joint ventures and general corporate matters.  She also acted as lead counsel for Nortel’s Corporate Business Development Group, structuring and negotiating numerous equity investments for the company in the U.S. and abroad.  She was also formerly corporate counsel to MCI. 

After graduating from UC Berkeley School of Law (Boalt Hall), where she was Note & Comment editor of the California Law Review, Ms. Brecher served as law clerk to the Hon. Richard A. Gadbois, United States District Judge for the Central District of California.

  • Former Acting Chief Legal Counsel to Pacific Coast Recycling.
