Ms. Xu is an associate in the Corporate practice group in the firm's Beijing office.

Areas of Practice

Ms. Xu’s practice focuses on corporate and tax matters, customs and foreign exchange issues. Her experience includes advising international clients on a variety of corporate, commercial and tax matters related to foreign direct investment, corporate restructuring, cross-border transactions and foreign contract projects.

Prior to joining Sheppard Mullin, she worked with one of the Big Four accounting firms and an international law firm based in Beijing.

Representative Experience

  • Providing tax planning strategy for a leading Chinese language Internet search provider including advising on tax optimal holding and investment structures, potential business arrangements to minimize PRC tax exposures and tax efficient strategies to repatriate profit overseas.
  • Advising a China-based steel group on PRC tax and legal issues on equity transfer, asset acquisition, liquidation and subsequent reorganization for IPO purposes.
  • Advising a leading multiplayer game company in Europe on a technology transfer arrangement to its China-based partner including advising on legal restrictions and requirements on technology transfer, advising in tax impact of technology transfer and exploring possible arrangements to mitigate potential tax exposures. 
  • Advising a Singapore-based investment company on its real estate development project in China including relevant legal and tax issues involving land acquisition, development and sale of properties, funding of the investment, exit strategies and comparing and analyzing the use of various offshore intermediate holding structures for the investment.
  • Advising a US education program on transfer pricing related issues by evaluating and analyzing client's transfer pricing position, exploring planning opportunities and preparing related party agreements and transfer pricing documents.
  • Advising a US invested manufacturing company on customs and VAT issues in relation to its manufacturing business by conducting customs compliance review, analyzing and recommending efficient trading schemes, and providing customs audit and investigation support.
  • Advising a US-based manufacturing company on customs compliance issues, customs clearance process and inward processing relief related matters.
