Elise LeGros is special counsel in the Corporate Practice Group in the firm's Houston office. Elise's practice focuses on a broad range of healthcare transaction and regulatory matters. Elise has experience working on various types of transactions in the healthcare industry, including health system and hospital mergers and acquisitions. She also assists clients with drafting and negotiating physician-hospital agreements, including recruitment, employment, professional services, and co-management.
Elise advises clients on a broad range of healthcare regulatory matters, including compliance with the Stark Law, Anti-Kickback Statute, and Civil Monetary Penalties statute. She is regularly involved in the health regulatory compliance due diligence associated with transactions.

- Represent major health systems in acquisitions of specialty and primary care physician practices, hospitals, ambulatory surgery centers, and urgent care centers.
- Represent health systems in joint ventures involving urgent care and freestanding imaging centers.
- Advise health systems in structuring arrangements to comply with the Stark Law, Anti-Kickback Statute, and the beneficiary inducement provisions of the Civil Monetary Penalties Law.
- Advise health systems in self-disclosures of Stark Law violations.
- Strategic advisor to healthcare providers (including hospitals, health systems, academic medical centers, and large physician groups) with respect to various areas of regulatory compliance, including fraud and abuse, licensure, corporate practice, fee splitting, and privacy.
- Conduct regulatory due diligence in various provider acquisitions, including hospitals, ambulatory surgery centers, and urgent care centers.
- Draft and negotiate comprehensive physician-hospital agreements, including recruitment, employment, professional services, and co-management arrangements. Work collaboratively with outside fair market value appraisal firms to obtain opinions in connection with physician contracts.
- Assist multiple graduate medical education Sponsoring Institutions and individual programs in responding to and resolving accrediting agency (ACGME) citations. Advise academic medical centers and other sponsors of graduate medical education on GME organizational infrastructure and operations for compliance with accreditation requirements.
- Advise health systems on compliance with the amendments to the Texas Business and Commerce Code §15.50 adopted by the Texas Legislature in 2025.
- Advise on compliance with the amendments to the Texas Business and Commerce Code §15.50 adopted by the Texas Legislature in 2025 relating to covenants not to compete with physicians.
