Lidore DeRose is special counsel in the Corporate Practice Group, with a focus on advising clients on the effective use of representation and warranty insurance and other transaction risk insurance products.
Areas of Practice
Lidore concentrates her practice on providing legal and strategic counseling to private equity sponsors and corporate clients in all aspects of negotiating and procuring representation and warranty insurance (RWI) and other transaction risk insurance policies in order to mitigate the risk of loss arising from mergers and acquisitions. With extensive prior experience as an M&A attorney and in the transaction risk insurance industry, she uses her comprehensive knowledge regarding these policies and their critical importance to corporate transactions to negotiate the broadest possible coverage terms and protection for her clients in both the policies and the related purchase agreement terms. She has negotiated and placed hundreds of RWI policies for clients across all industries, including aerospace and defense, technology, healthcare, financial services, automotive, retail, and manufacturing. Lidore has unique market insight, deep industry relationships with brokers and underwriters, and a track record of obtaining highly favorable terms for her clients.
Prior to joining Sheppard Mullin, Lidore spent over five years in the transaction risk insurance industry, first as an underwriter for RWI policies and then as a licensed insurance broker. She also spent the first decade of her legal career at leading international firms representing clients in mergers and acquisitions, leveraged buyouts, and other complex business transactions.
