Michael Distefano is a member of the firm’s Energy, Infrastructure and Project Finance team in Los Angeles. 

Areas of Practice

Michael is an energy attorney who represents companies engaged in the development and financing of solar, wind and other energy assets. Michael’s practice focuses on three general areas: 1) the negotiation and drafting of construction, offtake and other project contracts, 2) project and portfolio financings, and 3) the purchase and sale of development assets and operating projects.

At the development stage, Michael frequently represents sponsors in the negotiation of procurement and construction agreements (such as turbine supply, balance of plant, and EPC agreements), as well as other key project documents (such as power purchase, operation & maintenance, and various interconnection and transmission-related agreements).

Michael has represented both lenders and sponsors in connection with debt financings for utility-scale projects and portfolios of residential and commercial projects. Michael has also represented sponsors and investors in connection with tax equity investments in projects.

Finally, Michael assists clients with buying and selling development assets (early and late-stage) and operating projects. Michael has experience with a wide variety of transaction documents, including exclusivity and option agreements, membership interest and asset purchase agreements, development services agreements, and co-development agreements.

In addition to his energy practice, Michael has represented pro bono clients in a range of matters, including immigration proceedings and wage and hour claims.

  • Represented sponsor in connection with the negotiation of a power purchase agreement for a 105 MW wind project in North Dakota.
  • Represented sponsor in connection with the negotiation of a power purchase agreement for a 70 MW solar project in California.
  • Represented sponsor in connection with turbine supply, balance of plant, and service & maintenance agreements for a 200 MW wind project in Texas.
  • Represented sponsor in negotiation of turbine supply, balance of plant and operation & maintenance agreements for a 156 MW wind project in Texas.
  • Represented sponsor in connection with the negotiation of a power purchase agreement for an 80 MW solar project in California.
  • Represented sponsor in connection with turbine supply and balance of plant contracts for multiple wind projects in Mexico.
  • Represented sponsor in negotiation of engineering, procurement and construction and operation and maintenance agreements for a 24 MW solar project in Nevada.
  • Represented sponsor in connection with the negotiation and drafting of turbine supply, operation & maintenance and equipment supply agreements in connection with two wind projects totaling 550 MW in Maine and Kansas.

  • Represented sponsor in connection with construction and term loan financing for a portfolio of commercial rooftop, community solar and ground mount solar projects totaling over 70 MW in six states.
  • Represented sponsor in connection with construction and term loan financing for a portfolio of commercial rooftop and ground mount solar projects totaling over 60 MW in five states.
  • Represented lender in connection with the debt financing of a portfolio of 3500 residential solar leases.
  • Represented lender in connection with debt financing for a portfolio of Minnesota community solar gardens.
  • Represented numerous lenders and tax equity investors in connection with diligence of potential investment projects.
  • Represented lender in connection with the re-financing of an approximately 9 MW portfolio of solar projects in Massachusetts.
  • Represented sponsor in connection with a tax equity investment in a 110-MW concentrating solar power project.
  • Represented investment fund in connection with a $75 million investment in an undersea high voltage transmission cable.
  • Represented sponsor in connection with the financing of a 53 MW solar photovoltaic project in Chile.

Project Acquisitions and Sales

  • Represented investor in connection with the acquisition of an approximately 310 MW portfolio of operating utility and commercial scale solar projects across 15 states.
  • Represented investor in connection with the acquisition of the lessor position in a sale-leaseback financing for an 11 MW portfolio of commercial rooftop and ground mount solar projects.
  • Represented numerous clients in connection with the purchase of development assets from the SunEdison bankruptcy proceedings.
  • Represented sponsor in connection with the acquisition of a 97.5 MW portfolio of operating wind projects in Minnesota.
