Sheppard Mullin Represents Samsung Venture Investment Corp., Oncocyte and Others in Recent Deals

Over the past month, Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions:

  • Represented Samsung Venture Investment Corporation, the venture capital arm of South Korea’s conglomerate Samsung Group, in joining the Series B funding round of Travelio, an Indonesia-based startup that works with property owners and developers to help manage and monetize their vacant properties. The Sheppard Mullin team, led by partner Will Chuchawat, included partner Yookyung Moon and associate Andrew Kreider. (December 12)
  • Represented Santa Monica Fertility Center, a leading provider of vertically integrated reproductive services offering egg donation, surrogacy and IV, in its acquisition by Webster Equity Partners, a private equity firm that invests in the branded consumer and healthcare services industries.  Terms of the deal were not disclosed. The Sheppard Mullin team was led by Will Chuchawat and Mark Ramzy and included Seung Kim, Michael Chan,  Keith Gercken, Steven Chananie, John Crisp and Daniel Eliav. (December 16)
  • Advised the underwriter in connection with a $5.8 million secondary public offering of Series D Cumulative Redeemable Perpetual Preferred Stock of Youngevity, Inc. (NASDAQ: YGYI). Youngevity’s Series D Preferred Stock is listed on the Nasdaq Capital Market under the symbol “YGYIP.” The Sheppard Mullin team included partner Richard Friedman, and associates Alexander Yarbrough, Nazia Khan and Matthew Hayes. (December 18, 2019)
  • Represented OncoCyte Corporation, a developer of novel tests for the early diagnosis and management of lung cancer, in the acquisition of Nashville, Tennessee-based Insight Genetics, a molecular diagnostics company focused on improving precision cancer care at times of diagnosis, treatment and therapeutic resistance.  The deal was valued at approximately $18 million, plus revenue sharing. The Sheppard Mullin team, led by partner Kandace Watson,  included partners Dmitiry Chelnitsky, Jing Liu, Jamie Mercer, and Robert Wernli; associates Cedric Powell, Danielle Moore and Andrea Ramos; and attorney Shane Killeen.
