Sheppard Mullin Guided Hall of Fame Resort & Entertainment Company to Private Ownership

Sheppard Mullin represented Hall of Fame Resort & Entertainment Company, a Canton, Ohio-based resort, entertainment and media company centered on the power of professional football, in completing its merger with HOFV Holdings, LLC. The transaction transitions the company to private ownership. HOFV Holdings is an investment vehicle affiliated with developer Stuart Lichter’s Industrial Realty Group.

The strategic merger positions the company for long-term growth by providing enhanced flexibility to focus on its core business initiatives while continuing to strengthen relationships with customers, partners and employees. The transition also enables continued investment in the company's destination-focused operations at Hall of Fame Village, a multi-use sports destination surrounding the Pro Football Hall of Fame that includes multi-purpose turf fields, a retail promenade, an event venue, a mixed-use office building, and other attractions, supporting sustainable development, community engagement and long-term value creation.

The Sheppard Mullin team was led by Richard Friedman, Stephen Cohen and Michael Blane.
