Karen Shilyan

Karen Shilyan is an associate in the Corporate Practice Group in the firm's Los Angeles office. 

Areas of Practice

Karen represents public and private companies, private equity funds and their portfolio companies and entrepreneurs and founders in a variety of corporate transactions, including mergers and acquisitions, corporate governance, entity formation, and other general corporate matters. She has advised clients in a wide range of industries, including aerospace and defense, software & technology, retail, fashion, apparel and beauty, construction, food & beverage, advertising, entertainment and healthcare.

Karen received her law degree from the University of Southern California Gould School of Law. While in law school, she served on the Business Law Society as the Transactional Law Dinner Chair, participated in the Small Business Clinic and Moot Court, and obtained the Business Law Certificate.

Prior to law school, Karen attended UCLA, where she graduated summa cum laude.

• Represented Smart Parking Limited, an Australian public company (ASX:SPZ) in its acquisition of Peak Parking
• Represented Hyphenate Media Group in its investment in GloNation Studios
• Represented Aqua Expeditions Pte. Ltd, its majority owner Bison Capital, and a minority owner, in connection with the sale of a controlling stake in the company to Compagnie du Ponant, SASU and the post-closing relationship between Ponant and the minority owner
• Represented Gemsa Oils in the sale of its equity to Marubeni Corporation, a major Japanese conglomerate and integrated trading and investment company
• Represented Medium Rare Live in its investment from an affiliate of Kygo’s Palm Tree Crew
• Represented Maxwell Financial Labs, Inc. in its acquisition of Revvin, Inc.
• Represented PSG Global Solutions in its sale of equity to Teleperformance (OTCMKTS: TLPFY)

• Represented Snak King, one of the largest producers of co-manufactured and private-label salty snacks in the United States, in its investment by private equity firm Falfurrias Management Partners

• Represented Go Rentals in its significant investment from private equity firm RedBird Capital Partners
• Represented Wpromote, a portfolio company of Shamrock Capital, in its strategic investment from affiliates of private equity firm ZMC
• Represented Banijay in its strategic investment in Hyphenate Media Group, a new media holding company and premium content studio launched by Eva Longoria and Cris Abrego
• Represented Bellami, LLC, in its acquisition by Beauty Industry Group
• Represented Bison Capital Asset Management in its investment in Quixote Studios
• Represented Bison Capital Asset Management in its investment in Apex Innovative Sciences (the result of a merger of CNS Network and Hassman Research Institute)
• Represented R.K. Electric in its acquisition by an affiliate of Huron Capital Partners
• Represented Stroco Manufacturing, Inc. in its acquisition by Space-Lok, a division of the Novaria Group
• Represented Files.com, a portfolio company of Riverwood Capital, in its acquisition of EvaVault, Inc.
• Represented Bison Capital Asset Management’s interests as an indirect owner of Lapmaster International, LLC and its subsidiary Bates Technologies, LLC, in connection with the sale of certain assets to Nagel Precision, Inc.
• Represented DeskMakers, Inc. in its acquisition of the operations of Peter Pepper Products, Inc.
