Sheppard Mullin Represents Molina Healthcare in Acquisition of Magellan Complete Care
Sheppard, Mullin, Richter & Hampton LLP represented Molina Healthcare, a leading provider of managed health care services under the Medicaid and Medicare programs, in its acquisition of Magellan Complete Care (MCC) from Magellan Health, Inc. MCC operates managed care plans serving Medicare and Medicaid members in six states including Arizona, New York and Virginia. The purchase price for the acquisition is approximately $820 million, net of tax benefits.
Upon the closing of the acquisition, Molina will serve more than 3.6 million members in 18 states. The acquisition represents a synergistic fit with Molina’s own Medicaid and dual-eligible businesses.
