Overview
Eric A. Newsom is a partner in the Corporate Practice Group in the San Francisco office and the Transactions Lead of the Firm’s Healthcare Industry Team.
Areas of Practice
Eric’s practice focuses on mergers and acquisitions, strategic joint ventures, reorganizations, private equity and venture capital investment transactions, and corporate governance and compliance matters. He has represented buyers, sellers, investors and intermediaries in scores of business combination, buyout and investment transactions, with particular emphasis on the healthcare industry.
In his healthcare and health technology practice, Eric focuses on mergers, acquisitions, affiliations, comprehensive corporate reorganizations, multi-channel joint ventures, and private equity investment and disposition transactions involving for-profit, non-profit, and government-owned hospital and provider systems, academic medical centers, health plans, physician groups, and ambulatory and other specialty service providers, as well as startup and growth-stage companies in the healthcare information technology sector.

Representative Transactions
- UC Irvine Health’s $975 million acquisition of Tenet Healthcare Corporation’s Pacific Coast Network, comprising four separate hospital campuses and ancillary facilities in the Orange County region, a transaction that closed in less than six months, in advance of regulatory deadlines and without enforcement action.
- UCLA Health’s acquisition of HCA Healthcare’s West Hills Hospital and Medical Center, which closed simultaneously with UCI Health’s Tenet deal and without enforcement action.
- UC San Diego Health’s acquisition of Prime Healthcare’s Alvarado Medical Center.
- Blue Shield of California in the launch of its Altais physician practice platform, commencing with the acquisition of the 2,700-member Brown & Toland Physicians IPA. Altais was created to help California physician practices remain independent while providing the tools to succeed in value-based care arrangements.
- Blue Shield of California, in the complex restructuring of the entire corporate organization, a reorganization designed to modernize and streamline Blue Shield’s structure, compartmentalize its payor, provider, and strategic services business lines, and enable operating advances that enhance the patient and provider experience and reduce the cost of healthcare.
