Sheppard Mullin Represents Varsity Healthcare Partners, Greenbacker Renewable Energy, and Others in Recent Deals

Over the past month, Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions:

  • Advised Genprex, Inc., in connection with a $1.26 million registered direct offering of common stock. Genprex’s common stock is listed on the Nasdaq Capital Market under the symbol “GXPX.” The Sheppard Mullin team included partners Richard Friedman and Stephen Cohen and associates Nazia Khan and Matthew Hayes.   • Advised Ameri Holdings, Inc., in connection with a $1 million registered direct offering consisting of a 5 percent convertible promissory note. Ameri’s common stock is listed on the Nasdaq Capital Market under the symbol “AMRH.” Ameri Holdings, Inc. is a specialized SAP® cloud, digital and enterprise solutions company which provides SAP® services to customers worldwide. The Sheppard Mullin team included partner Richard Friedman and associate Justin Anslow. (November 26, 2019)
  • Represented San Diego-based Advanced Lighting Concepts LLC d.b.a. Environmental Lights, a leading designer and provider of commercial accent LED lighting, in its acquisition by private equity firm Pfingsten. Terms of the deal were not disclosed. The Sheppard Mullin team, led by Bob Copeland, included partners Greg Schick and Michael Chan; associates Dan Belzer and Osama Khan; and law clerk Seth Lemmings. (November 26, 2019)
  • Represented Arlington Capital Partners, a Washington, D.C.-based private equity firm, in its acquisition of United Kingdom-based Firth Rixon Forgings Limited from Arconic. Going forward, Firth Rixon Forgings will operate as part of Forged Solutions Group, which Arlington Capital recently formed as its aerospace forging platform. The Sheppard Mullin deal team was led by partner Luca Salvi and included partner Keith Gercken and associate Cedric Powell. Travers Smith served as local UK counsel on the deal. (December 2, 2019)
  • Represented Center for Social Dynamics, Inc., a leading applied behavioral analysis (ABA) services company specializing in home-based, personalized, evidence-based Autism Spectrum Disorder (ASD) treatment, in its acquisition by NMS Capital. The Sheppard Mullin team, led by partner Aytan Dahukey, included associates Vinay Bhupathy and Sam O’Brien. (December 4, 2019)
  • Advised private equity firm Varsity Healthcare Partners in its investment in Peak Gastroenterology Associates. Colorado Springs, Colo.-based Peak offers gastroenterology services and ancillary patient diagnostic and remedial treatment services. Sheppard Mullin deal team was led by partner Jeralin Cardoso, and included partners John Golembesky and Peter Carson and associates Katherine Bai and Kirstin Smith. (December 6, 2019)
  • Represented Greenbacker Renewable Energy Corporation, an energy company that acquires and manages income-generating renewable energy and energy efficiency projects in North America, in its acquisition of Electric City Solar, a 19 MW construction-ready solar project in Michigan, from Prism Power Partners. Terms of the deal were not disclosed. The Sheppard Mullin team, led by Christine Hourcade-Hoefliger, included partners Paul Kaufman and Andrew Ratts; and associates David Solberg, Winnie Weil, John Crisp, and Bill Rappolt.
