Sheppard Mullin Represents Astra Capital Management, Greenbacker Renewable Energy, Wpromote And Others In Recent Deals

  • Represented Advanced Infusion Solutions (AIS), a portfolio company of Excellere Partners, in its acquisition of Hunt Valley PharmaLAB, an ophthalmology pharmacy, greatly expanding AIS' compounding pharmacy offerings. The Sheppard Mullin team, led by partner Mike McKinnon, included partners Frank Dworak and Allison Fulton; and associates Roy Fox, Jane Chen Kane and Allen Babajanian. (February 21)
  • Represented Greenbacker Renewable Energy Company LLC, an energy company that acquires and manages income-generating renewable energy and energy efficiency projects and other energy-related businesses, in two deals:
    • The sale of a portfolio of 3,668 rooftop solar assets totaling 27.6 megawatts to Spruce Finance, a private owner and operator of distributed generation solar and residential energy assets. The terms of the deal were not disclosed.  The Sheppard Mullin team, led by partner Christine Hourcade-Hoefliger, included partners Amit Kalra and Justin Hepworth; and associates Robert Kay and Winnie Weil.     • The acquisition of the RoxWind Project, a wind project in development located in Maine. The terms of the deal were not disclosed. The Sheppard Mullin team, led by partner Christine Hourcade-Hoefliger, included partners Paul Kaufman, Elliot Hinds and Bill Rappolt; and associates David Solberg and John Crisp. (March 16)
  • Represented Wpromote, a leading digital marketing company and portfolio company of Shamrock Capital, in its acquisition of substantially all of the assets of Metric Digital, LLC, a New York-based digital marketing company focused on consumer product brands. This acquisition is the latest in a string of bolt-ons for Wpromote and gives them a foothold in the prominent New York City market.  The transaction was accomplished on an accelerated time frame and involved a mix of stock and cash consideration.  The Sheppard Mullin team, led by partner Zac Turke and associate Taylor Parks, included partners Michael Chan, Keith Gercken, Frank Dworak, Dmitriy Chelnitsky, Bijal Vira and Aaron Sobaski; and associates John Crisp and Nirav Bhatt.   • Represented AEgis Technologies, an Arlington Capital Partners portfolio company, in its acquisition of Excivity, Inc.  The Sheppard Mullin deal team was led by partner Frank Bacelli and included partners Keith Gercken, Fatema Merchant, Jon Meyer, Jim Ritter, Olivier Theard and Carlo Van den Bosch; special counsel Sean Kirby and Verity Rees; and associates Cedric Powell, Jeff Bowling, Felicia Xu, John Crisp, Rob Gorzelany, Michelle Wisniewski, Jarred Ramo and Mike Baranovic; and attorney Diandra Molina.   • Represented Astra Capital Management, a private equity firm that invests in growth businesses in the communications and technology services sectors, in its acquisition of DartPoints Holdings Company, an owner and operator of edge colocation data centers.  The Sheppard Mullin team, led by partners Luca Salvi and Michael Koltonyuk, included associate Wes Fischer.  Partners Brian Weimer, Keith Gercken, Jim Ritter, Carlo Van den Bosch, Fatema Merchant and Jon Meyer; special counsel Sean Kirby and Verity Rees; and associates Michael Baranovic, Kelly Vazhappilly, and John Crisp provided additional support.
