Sheppard Mullin Advises Allied Universal, Bison Capital, Hepion Therapeutics, and Others in Recent Deals

Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions over the past few months:

Mergers & Acquisitions

  • Represented 1871, Chicago’s digital technology hub and the #1 ranked private business incubator in the world, in its agreement to acquire Catapult Chicago’s intellectual property assets and programs.  Catapult Chicago helps initiate powerful connections and offers programming for start-up founders and their leadership teams.   Following the acquisition, members of both organizations will join together under the 1871 name. In February 2020, Sheppard Mullin also advised 1871 in adding the growth-stage programming of Illinois Technology Association (ITA), and the agreement with Catapult further adds to 1871’s momentum by building a new and necessary bridge between early stage businesses and growth-stage companies.  The Sheppard Mullin team was led by Chicago office managing partner and Chairman of the Board of 1871, Larry Eppley and Chicago special counsel Carrie McNally, and included attorneys Nika Palama, Matt Bonovich, Shawn Fabian, Beth Rowe, Mike Roth, Kevin Ryan, Brian Uelk, Michael Chan and Chelseaa Bush.   • Represented Lumedx Corporation, a market leader in cardiovascular information systems (CVIS), in its acquisition by Montreal, Canada-based Intelerad Medical Systems, a privately-held company and global leader in enterprise imaging solutions.  The transaction included a stock acquisition of more than 90 percent of the issued and outstanding stock and was immediately followed by a reverse subsidiary merger.  The Sheppard Mullin team was led by partners John Tishler and Jeralin Cardoso and included associates Katie Hull, Shane Killeen, Alexia Niebling, Jordan McClenny, Nicollette Vairo and attorney Graham Wardle.   • Represented Allied Universal, the largest security guard company in the U.S., in its acquisition of Security Integration Inc., a Texas-based electronic security and monitoring systems company via asset purchase. This was the third acquisition in six months in which Sheppard Mullin represented Allied Universal.  The Sheppard Mullin team was led by partner Steve LaSala and associate Andrea Ramos, and included partners Amy Tranckino, Mike Chan, and Shawn Fabian; associate Michael Weisshar; and law clerk Brett Uslaner.   • Represented Oasis Materials Company LP, a global leader in rapid temperature transition applications used in semiconductor, medical, aerospace, defense and other applications, in its sale to Fralock Holdings, LLC, a leading developer and manufacturer of engineered advanced materials solutions for critical applications. The Sheppard Mullin team was led by partners Larry Braun and Zac Turke and included Peter Park and Taylor Parks. (March 9)

Public Offerings

  • Represented Hepion Pharmaceuticals, Inc. (NASDAQ: HEPA), a clinical stage biopharmaceutical company focused on Artificial Intelligence-driven therapeutic drug development for the treatment of non-alcoholic steatohepatitis and liver disease, in its $88.4 million follow-on public offering. The deal was led by partner Jeff Fessler and associate Justin Anslow. Partner Jing Liu and associate Paul Chang assisted on IP matters. (February 18)
  • Represented Bison Capital Asset Management, LLC in its investment in Fluid Market in a $63 million Series A funding. The investment round also included participation from Ingka Investments (part of Ingka Group, the main IKEA retailer), Sumitomo Corporation of Americas, and Fluid Vehicle Owners. The Sheppard Mullin team was led by partner David Sands and included special counsel Jeff Kaye and associates David Solberg and Edward Xia. (March 2)
  • Represented Hoth Therapeutics, Inc. NASDAQ: HOTH), a patient focused clinical stage biopharmaceutical company, in its $15 million sale of securities with H.C. Wainwright serving as exclusive placement agent. The deal team included partner Richard Friedman, associate Nazia Khan and attorney Emily Mastoloni. (March 10)
