Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions over the past few months:

Financings

  • Represented New York-based healthcare private equity firm SIGNET Healthcare Partners in its investment in LAXAI Inc., an integrated provider of drug discovery, development and manufacturing services for pharmaceutical and specialty chemical companies. The deal team was led by Shon Glusky, Amanda Ackerman and Josh McLane. Special assistance was provided by Mark Kahn, Fatema Merchant, Christina Nguyen, Neil Popović and Brian Weimer. (October 24)

Mergers & Acquisitions

  • Advised Advanced Marine Preservation (AMP) in its sale to Armada Parent, Inc. ("Armada"), a portfolio company of global investment firm Carlyle and Stellex Capital Management. AMP provides critical preservation services through large prime contractors, primarily to the U.S. Navy in maintaining its small surface war ships, as the nation seeks to meet increasing pressures to assure the Nation's defense readiness in a growingly challenging world. The deal team was led by Shon Glusky, Matt Silverstein, Cristina Nguyen, Carol Archer and Niya Tang.   • Represented Allied Universal, the leading global security and facility services company, in its acquisition of Century Event Security & Staffing, which provides comprehensive security and event services in Las Vegas and Orlando. The deal was led by Steve LaSala and Brandon Beshay. (October 14)
  • Advised Avisa Partners SAS, a portfolio company of Raise Investissement SAS and Rives Croissance SAS, in its acquisition of Forward Risk and Intelligence LLC, a firm that conducts investigative due diligence, business intelligence research and international risk assessments for investors, corporations and law firms. The deal was led by Valérie Demont, Karl Buhler and Anushna Das and included Dmitriy Chelnitsky, Wynter Deagle, Niya Tang, Dan Yannuzzi, John Hempill, Sean Kirby, Malika Levarlet, Evan Lim, Betsy Luxenberg, Michael Weisshar and Nirav Bhatt.   • Represented Sia Partners in its acquisition of Latham Biopham, which specializes in helping pharma, biotech and medical device firms secure non-dilutive funding from US government agencies and NGOs.
