Sheppard Mullin’s Corporate practice has been busy closing a variety of deals and transactions over the past few months:

Financings

  • Represented Ankona Capital, a southern California-based growth venture firm, as lead investor in the $10 million Series A Preferred Stock financing of Lawmatics, the leading all-in-one legal customer relationship management (CRM), client intake, and marketing automation platform for attorneys. The deal team was represented by partner Michael Umansky and associate Andrea Ramos. (December 15)

Mergers & Acquisitions

  • Represented Sony Interactive Entertainment in its agreement to acquire Seattle-based videogame developer Valkyrie Entertainment. The Sheppard Mullin deal team is led by partner Stephanie Zeppa and included partners Brian Anderson, Michael Chan, Jim Gatto, Keith Gercken and Greg Schick and associates Ethan Aronson, John Crisp and Robert Kay.   • Represented Effective School Solutions (ESS), a provider of mental health care services to school children in grades K through 12, in its sale to Frazier Healthcare Growth Buyout Fund X, L.P. ESS was a portfolio company of Havencrest Healthcare Partners, a Dallas-based private equity firm. The deal team was led by partner Bijal Vira and associates William Ziegelbauer and Ehi Borha. Special assistance was provided by partners Michael Chan, Dmitriy Chelnitsky, Frank Dworak, Justin Hepworth, Malika Levarlet, Bob Magielnicki and Jim Ritter, special counsel Lidore DeRose, and associates Nirav Bhatt and Carter Gage.

Public Offerings

  • Advised the underwriters in connection with a $15 million initial public offering of Common Stock of Expion360, Inc., an industry leader of premium lithium batteries and accessories for recreational vehicles, outdoor, marine, residential and industrial. The Sheppard Mullin deal team included partner Richard Friedman, special counsel Gregory Carney and Sean Reid, and associate Emily Mastoloni (April 5)
  • Advised The Benchmark Company, LLC in connection with an initial public offering of Common Stock of SQL Technologies Corp., a highly disruptive smart platform product technology company, with over 60 U.S. and global patents and patent pending applications, enhancing safety and smart home lifestyle in homes and buildings, in a $23.1 million public offering. The Sheppard Mullin deal team was led by partners Richard Friedman and Stephen Cohen, special counsel Sean Reid and associate Emily Mastoloni. Partner James Gatto provided advice on Intellectual Property matters. (February 14)
  • Represented Hillstream BioPharma, a biotechnology company developing novel therapeutic candidates targeting ferroptosis, an emerging new anti-cancer mechanism resulting in iron mediated cell death for drug resistant and devastating cancers, in its $15 million initial public offering. The Sheppard Mullin deal team was led by partner Jeff Fessler and included special counsel Sean Reid and associates Nazia Khan and Emily Mastoloni. (January 14)
  • Represented Signet Healthcare Partners in its investment in Juno Pharmaceuticals Corp. preferred stock for $7,500,000. The deal team was led by partner Shon Glusky and associate Mark Kahn and attorney Christina Nguyen. (February 22)
